Before he was a lawyer, Marc Lindsey was an engineer – designing mission-critical systems at GE Aerospace and earning a graduate degree in systems engineering. That foundation shapes how he approaches the law. For over 25 years, he has served as lead counsel on the high-stakes technology transactions that determine how Fortune 500 companies and government organizations source, deploy, and govern their most critical technology investments. Unlike large firms that balance vendor and buyer relationships, Marc represents buyers exclusively.
Marc is directly involved in negotiations, working alongside client teams rather than supervising from the sidelines. He brings technical understanding, commercial judgment, legal acumen, and drafting experience to deals where technology agreements must hold up as provider service-delivery models, technologies, and revenue recognition strategies evolve. Clients engage him when complex or high-stakes negotiations require seasoned judgment applied in real time – at the point where leverage, risk, and long-term value are determined.
His practice covers the full spectrum – large-scale outsourcing, cloud infrastructure, enterprise software, ERP implementations, and data platforms – often where these elements converge and stakes run into hundreds of millions. Marc has led cross-border outsourcing spanning dozens of countries, negotiated $150M+ infrastructure deals for Fortune 50 enterprises, and structured implementations across healthcare, government, pharmaceuticals, financial services, and media. He negotiates directly with tier-one hyperscalers and leading systems integrators guided by an understanding of both the technology and business outcomes at stake.
What clients value most is Marc’s ability to operate at two levels: strategic advisor to general counsel, CIOs, CTOs, and procurement leadership, and hands-on deal lead drafting key provisions, negotiating supplier compromises, building playbooks, and preparing risk analyses for executive decisions. Clients work directly with Marc, not associates. Where other firms distribute sourcing, drafting, data governance, AI risk, and exit planning across teams, Marc integrates them (often with TC2, LB3’s consulting affiliate). Applying this approach, issues surface earlier, risk is managed effectively, and agreements withstand pressure.
“Critical technology deals come together when strategy, risk, negotiation, and drafting are connected in real time by someone who understands the technology, not just the law. Clients bring me in early, usually when the stakes are clear but the path forward isn’t. With over twenty-five years of buyer-side focus and an engineer’s lens, I structure accountability, pricing, service level, data rights, AI governance, and exit protections that hold up years after signature.“
Marc’s work extends beyond sourcing. He advises on technology dimensions of M&A by helping separate infrastructure, reallocate software entitlements, structure transition services, and preserve data rights. He has developed AI governance frameworks for major financial institutions and drafted AI/ML agreements addressing emerging technology risks. Marc is widely recognized for leadership in the IPv4 market, generating $700M+ in client value. He has extended his IPv4 market experience to help clients identify and act on data monetization initiatives. His thought leadership has been published in CIO Magazine, NetworkWorld, ComputerWorld, and the ABA Journal.
Throughout it all, Marc’s work is defined by a singular commitment – positioning clients to protect, enhance, and extract value from technology investments in ways that advance their long-term strategy. He is tenacious in building agreements that preserve negotiated value, anticipate pressure, and create leverage when circumstances change. The result is deals that endure and client relationships that last decades.
